Trust and FAQ

Fees, conflicts and compliance, in writing.

How we charge, who owns what, and the rules we work by, answered the same way for every client.

You are front and center. Praxis Rock supports you.

Every conversation, meeting and commitment runs between you and your investors under your name, with Praxis Rock as the infrastructure underneath and no money passing through us.

You and your investors, with Praxis Rock underneathAt the top, you and your investors face each other, joined by the one oxblood line: every conversation and meeting runs between you under your name, and commitments and capital go from investors straight to you. Under you, one arrow rises from Praxis Rock, the infrastructure underneath: research and data, warm paths, the Platform, materials, press and events. Praxis Rock holds no funds, negotiates no terms and takes no fee tied to capital raised.

Where Praxis Rock stands on fees, data, conflicts and compliance

What Praxis Rock is

One senior team that runs capital formation programs for fund managers and companies, origination programs for sponsors and acquirers, business development for companies and funds, market maps and thesis reports, and research and underwriting.

What Praxis Rock is not

  • Not a broker-dealer or placement agent.
  • Not a database you search.
  • Not software off a shelf.

The Praxis Rock Platform is the private workspace we set up for each engagement.

Fees

  • Fees are set per program and vary with its scope and what you take on.
  • A full program with press, content, events and roadshows carries a different fee from a narrower outreach program.
  • The scope and the fee are agreed in writing before you commit.
  • No fee is tied to capital raised.
  • No transaction-based compensation.

Data and ownership

Every conversation is yours, and so is the setup it ran on: your workspace, your outreach accounts and your contact history.

  • You keep every conversation and relationship, with the notes and meeting history.
  • Each client's work is walled off from every other client's.
  • Anything we show you from other programs is in aggregate.

Conflicts

  • We may also work for others in your sector.
  • You give us a block list, and we approach no one on it for you.
  • All of it in writing, in every engagement letter.

Compliance

  • Outreach goes only to investors who meet your offering's investor standard.
  • No performance or return claims.
  • Your compliance team can review the work at any stage.
  • For a 506(b) offering, which allows no general solicitation, we approach only investors your firm already has a relationship with, as your counsel defines it.

What Praxis Rock is

Are you a broker-dealer or a placement agent?

No. Praxis Rock LLC is not a broker-dealer or placement agent, and it takes no transaction-based compensation. We run the research and outreach behind your raise under your name, and every relationship stays with you.

Do you raise capital for your clients?

Our clients raise the capital, and we help them do it. We do not sell securities or raise capital on a client's behalf: we build the investor universe, prepare each approach and run the program. We negotiate no terms, hold no funds and take no fee tied to capital raised, so we report what we control: conversations started and meetings held.

How is this different from a placement agent?

A placement agent works its own contacts under its own name, and its fee usually depends on what you raise. We build a researched universe for your offering and run the program under your name, so every conversation is yours from the start, and none of our fee depends on what you raise.

We already pay for an investor database. Why would we need you?

A database sells you records and leaves the work to you. We research each name, map the warm paths and run the approach through to the meeting. Anyone can buy data. The work is what gets you in the room.

Where is Praxis Rock formed, and where is it based?

Praxis Rock LLC is a New York limited liability company, based in New York City.

Fees and value

How do you charge?

Fees are set per program and vary with its scope and what you take on: a full program with press, content, events and roadshows carries a different fee from a narrower outreach program. After a short call we send a written scope and a proposal, and the scope and the fee are agreed in writing before you commit. No part of the fee depends on the capital you raise.

What exactly do we get for the fee?

The program in the written scope: the research and warm-path map we work from, the materials, outreach across every channel under your name, and follow-through to the meeting. Interested people go straight to you, the same day. Every week or two there is a standing call and a short written summary.

Why not hire our own person instead?

One hire brings one set of contacts and one pair of hands. We bring a researched universe, our relationship graph and a senior team, with no one new to manage. If you want a person inside your team, we can embed one of ours.

We are an emerging manager. Is this too expensive for us?

The scoping call and the free sample cost nothing, and you see the proposal before you commit. If your raise is too small for the program to pay off, we will tell you on the first call.

How a program works

Investors back people they know. Can an outside firm help with that?

Yes, and that is where we start. Our relationship graph maps every shared employer, school, board and co-investment between your team and each investor, then adds your partners' own contacts and the investors already in conversation with your firm. You confirm each real connection, and we draft a note for the mutual contact to forward. For a 506(c) offering, where no shared path exists, we reach out on every channel under your name.

Can you get us a commitment in three months?

Nobody honest can promise that. Investors decide on their own schedule, and a program runs until they do. If you need the money within weeks, we are not the right fit, and we will say so.

Whose name is on the outreach?

Yours. Outreach goes out under your name and brand, and the relationships it opens stay with you.

Is the Praxis Rock Platform software we subscribe to?

No. It is a private workspace we build for one engagement, with the researched names for your raise or search already in it. Your team can work in it, we can run it, or both. You keep every conversation and relationship, with the notes and meeting history.

Have you done this for firms like ours?

We work for fund managers, companies, sponsors and acquirers across many sectors. Where we have no track record in your segment, we say so and start with a free sample.

Is your underwriting an appraisal?

No. Acquisition underwriting shows what an asset has to earn, what could kill the deal and what to ask the seller. It is not an appraisal or an opinion of value, and the decision to buy stays yours.

Trust, data and conflicts

Do you work for our competitors?

We may, because we offer no category exclusivity. Each client has its own block list, and its work is walled off from every other client's.

Who owns the relationships when the work ends?

You do. You keep every conversation and relationship, with the notes and meeting history. Each client's work is walled off from every other client's.

Is your outreach compliant?

We reach only investors who meet your offering's standard, and we make no claims about performance or returns. For a 506(b) offering, which allows no general solicitation, we approach only investors your firm already has a relationship with, as your counsel defines it. Your compliance team can review the work at any stage.

Do you check the clients you take on?

Yes. Before we take a client, we check them against the public record the way we would check a deal, and we have turned down work because of what the checks showed.
