Acceptance of Terms

By accessing or using praxisrock.com (the “Site”), you agree to these Terms of Service (the “Terms”). If you do not agree, please do not use the Site. These Terms are an agreement between you and Praxis Rock LLC (“Praxis Rock Advisors,” “we,” “us” or “our”).

About the Site

The Site describes the work of Praxis Rock LLC, a New York firm that runs capital formation programs for fund managers and companies, origination programs for sponsors and acquirers, business development for companies and funds, and the research and underwriting behind them. It also publishes research and reference data.

Using the Site does not make you our client and creates no fiduciary or other professional relationship. A client relationship exists only under a written engagement agreement signed by both parties.

Nothing on the Site is investment, legal, financial or tax advice, and nothing on the Site is an offer of securities. The Site is for information only. It is not a recommendation or solicitation to buy, sell or hold any security or investment product.

The Praxis Rock name, logo and branding belong to Praxis Rock LLC. You may not use them without our prior written permission.

No content from the Site may be reproduced, distributed, modified or republished without our express written consent.

User Conduct

When using the Site, you agree not to:

• Scrape, crawl or use automated tools to collect data or content from the Site
• Systematically copy, reproduce or redistribute Site content
• Use the Site for any unlawful purpose or in violation of any applicable law
• Impersonate Praxis Rock Advisors, its team members or any other person or entity

Indemnification

Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict of law rules. Any dispute arising under or in connection with these Terms is subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

We may change these Terms at any time. When we do, we update the date at the top of this page. Your continued use of the Site after a change means you accept the revised Terms.
